Service Agreement

Henry Schein Service Agreement

Overview:
The following is an overview of the dental service agreement between Sullivan Schein Dental (SSD) and Texas Association of Community Health Centers (TACHC).

Regular Service Call: By the end of next business day response
Regular Service calls are scheduled by the Service Hub (1-800-645-6594), in conjunction with the local dental office point person and will be responded to by the end of the next business day. All regular service calls are scheduled and performed Monday through Friday, from 8:00am to 5:00pm. These calls will be billed at the following rates, which reflect a 20% discount from standard rates:

Monday through Friday 8:00 am to 5:00 pm:
· $75.00 first ½ hour, $24.50 each additional ¼ hour.
· Any part of relocating equipment from one center to another will incur labor charges, any freight and/or moving charges.
· Installation of equipment purchased through the Sullivan-Schein Dental equipment department will include labor. Extra fittings and or parts will be charged accordingly.

X-ray Calibrations:
Will be completed per State requirements and will be charged at the above listed labor rate.

Emergency Calls: Response Time within 4 hours.
Emergency calls will be responded to within 4 hours of the Technician receiving the page. Calls received after 1:00 pm, may take place as the first call the next business day. In this case the Technician must call the dental office to inform and confirm. Rates for these calls will be as listed below.

Monday through Friday 8:00 am to 5:00 pm: (Within 4 hours when called in by 1:00 pm)
· $40.00 Emergency Arrival Fee
· $75.00 first ½ hour, $24.50 each additional ¼ hour.

Note: Emergency Calls are defined as follows and will be assessed by SSD Hub and Technician for authenticity:

· No air to all treatment rooms.
· No suction to all treatment rooms.
· No functioning method of sterilization.
· Major water leak that cannot be terminated at units shut-off valve.
· No functioning X-ray units in all treatment rooms.
· Only X-ray processor not developing films.

Parts:
All parts will be shipped to the lead technician’s home. In emergency situations, the parts will be shipped to the local dental office, Next Day Air 10:30 am delivery, if these parts are not a normally stocked item they will be shipped at each participating centers local office’s expense. Emergency shipments will be labeled appropriately and require a health center staff signature. SSD will not be responsible for the lost parts within the dental office.

All repairs over $500.00 require a written pre-estimate for approval by the participating centers office manager.

Purchase Orders will be required for service requests.

Technician:
Where possible, a ‘Primary Technician’ will be assigned to each dental office. If there are more facilities than SSD Technicians, then grouping of the dental offices will be necessary. The primary technician will assume full responsibility of his/her offices. This responsibility is as follows.
· Completing calls timely and efficiently.
· Ordering and follow through of parts.
· Coordinating and overseeing moves.
· Assigning another technician in his/her absence.
· Implement and utilize a logbook method, to track and communicate workflow (All service performed and service requests should be documented in this logbook.)
· Perform preventative maintenance calls.

SSD’s Local ROM will assign Primary Technicians.

Preventative Maintenance:
Preventative maintenance should be performed once (1) every three (3) months or adjusted as necessary when agreed upon by both parties.
· A definitive inventory list of specific equipment should be developed and maintained.
· Any additional pieces of equipment needing repair, other than the list, should be logged in the “Logbook”.
· Any necessary parts will be billed separately.

Sullivan Schein Dental’s Part:

1. Check/change oil in compressor, drain tank of fluids
2. Check and flush vacuum system and filters
3. Check X-ray processor
4. Check sterilizer(s)
5. Check panoramic/ceph X-ray beam alignment
6. Check ultrasonic cleaner
7. Treatment rooms:

A. Check & clean treatment room lights
B. Check lights for drifting and focus
C. Check X-rays for operation
D. Check X-rays for drifting
E. Check operation of handpieces (air pressure & water flow)
F. Check operation of units
G. Check air/water syringe
H. Check and lubricate equipment as necessary
8. Equipment will be inspected and recommendations to bring equipment into standard working condition will be made in writing. With Office Managers approval, parts (over $500.00) to repair equipment will be completed on a separate call (if required) and charged at the contracted service labor rate.

Participating Members Responsibilities:

1. Please do not schedule patients during preventative calls.

2. All cleaning materials are required before our visit and can be obtained through Sullivan-Schein Dental. Compressor oil, processor solution and sterilizer solution will also be utilized.

3. Equipment must be maintained according to manufacture’s specifications by office staff between visits. SSD assumes no responsibility for the longevity of equipment due to normal wear and tear, abuse, neglect and improper maintenance or non-manufacture modifications.

4. SSD’s goal is to service all dental equipment in place at each facility. Some parts and warranties might not be available through Sullivan Schein for equipment not purchased from SSD.

Holidays:
SSD will be closed on these holidays:

· Memorial Day
· Independence Day, July 4th
· Labor Day
· Thanksgiving Day
· Day After Thanksgiving
· Christmas Day, December 25th
· New Years Day, January 1st

Maintenance Plan Length:
The plan will expire December 31, 2004.

Rentals:
SSD will provide the following rentals at rates specified. These rentals are intended for short-term use only (one month) until the TACHC members center’s equipment can be properly repaired or replaced. Should the equipment be deemed unrepairable and the member decides to purchase a replacement product from SSD within 30 Days, the rental fee shall be credited.

· Single head air compressor at $ 100.00 per month
· Single motor vacuum pump at $ 100.00 per month
· Autoclave at $ 100.00 per month
· X-Ray processor $ 100.00 per month

Rentals may not be an exact duplicate.

Rentals will be billed monthly per device. If the device is not returned within 30 days after repair estimates have been submitted, a penalty fee of $150.00 will be assessed each month.

ProRepair:
Each dental office shall establish one person as the ProRepair contact. Each dental office will have access to SSD ProRepair services, which includes a number of special benefits that will be discussed in a separate document.
